CentralPay offers two distinct models for partners wishing to assist CentralPay merchants<\/strong> with their technical integration: the Technical Partner<\/strong> and the Integration Partner<\/strong>. In both cases, merchants remain in a direct contractual relationship<\/strong> with CentralPay; the terms regarding API access, resource sharing, and billing differ depending on the model. <\/p>\n\n

Depending on the nature of their business, these partners may also be registered with ORIAS<\/strong> asIOBSPs (intermediaries\u2014\u201cMOBSPs\u201d)<\/strong> in order to provide a legal framework for certain activities involving the introduction<\/strong> andsupport<\/strong> of merchants during onboarding with CentralPay. This article of association does not confer any right of access to funds<\/strong> or any authority to execute<\/strong> payment transactions. <\/p>\n\n

1. Integration Partner<\/h2>\n\n

An Integration Partner<\/strong> is a technical service provider contracted by one or more standard merchants<\/strong>. It acts on their behalf and for their account<\/strong> to facilitate their connection to CentralPay services. <\/p>\n\n

Each standard merchant has its own Point of Sale<\/strong> (POS), its own CentralPay Merchant Profile<\/strong>, and signs its application documents and contract (CCSP) directly<\/strong> with CentralPay. The Integrator has no contractual rights to the merchant\u2019s accounts or funds. <\/p>\n\n

1.1. Responsibilities and Operations<\/h3>\n\n
    \n
  • The Integrator uses the API access credentials delegated by each Merchant<\/strong> (dedicated \u201cIntegrator\u201d credentials) under a contractual agreement between the Integrator and the Merchant<\/li>\n\n\n\n
  • He or she may perform the technical tasks<\/strong> necessary for Integration and RUN (configuration, following technical instructions, maintenance), exclusively through these access points, without being able to view account balances<\/strong> or initiate, modify, or cancel<\/strong> a payment transaction.<\/li>\n\n\n\n
  • Transactions are generally conducted on a \u201cone-to-one\u201d basis<\/strong>: a customer (Payer) pays a single Merchant, with each Merchant retaining its own environment and access points.<\/li>\n<\/ul>\n\n

    1.2. Billing<\/h3>\n\n
      \n
    • Each Merchant is billed directly<\/strong> by CentralPay for the services subscribed to in their CCSP<\/li>\n\n\n\n
    • The Integration Partner does not get involved in the financial flows at any time<\/li>\n<\/ul>\n\n

      1.3. To learn more about the Integrator model<\/h3>\n\n
      \n
        \n
      • The Integration Partner provides technical support exclusively to standard merchants and never acts as a payment intermediary or representative of CentralPay. Its role is limited to integration, Level 1 functional support, and interface maintenance. <\/li>\n\n\n\n
      • Each merchant retains full control over their CentralPay Merchant Profile: collections, payouts, balance, API access settings, and document and contract management<\/li>\n\n\n\n
      • CentralPay may provide the integrator with portal access strictly limited to technical administration<\/strong> (monitoring of Technical Instructions, configuration settings, and operations necessary for RUN). This access does not allow<\/strong> the viewing of balances, the manipulation of financial transactions, the initiation, modification, or cancellation of payment transactions, or the modification of IBANs or financial parameters. <\/li>\n\n\n\n
      • To enable the connection, the merchant provides the integrator with dedicated credentials, which have strictly limited<\/strong> permissions and can be revoked<\/strong> at any time. All technical actions are performed using these credentials, under the merchant\u2019s responsibility<\/strong>. <\/li>\n\n\n\n
      • If the Integration Partner is registered with ORIAS as an IOBSP (Intermediary \u2013 \u201cMOBSP\u201d) and a separate contractual framework provides for it, they may assist<\/strong> the Merchant in onboarding (e.g., providing a registration link, assisting with the onboarding process). CentralPay retains sole discretion<\/strong> regarding onboarding, account opening, and regulatory compliance checks. <\/li>\n\n\n\n
      • Otherwise, the Integration Partner may refer the Merchant to CentralPay for any contractual, pricing, or regulatory questions related to payment services<\/li>\n<\/ul>\n<\/div><\/div>\n\n

        2. Technical Partner<\/h2>\n\n

        A Technical Partner<\/strong> is an entity that develops a shared solution (e.g., marketplace, SaaS platform) intended for multiple standard merchants. It operates through one or more Points of Sale (POS) registered under its name<\/strong> in CentralPay, to which merchants can be linked. <\/p>\n\n

        Transactions are processed by CentralPay through an internal \u201cTechnical Partner Account\u201d mechanism<\/strong> (used by CentralPay to temporarily receive and process funds prior to their transfer to the final Beneficiary). The Technical Partner has no right to dispose of<\/strong> these funds: it merely transmits commercial data<\/strong> and maintains visibility into the cash flows associated with its POSes, without ever being able to initiate a transfer<\/strong>. <\/p>\n\n

        2.1. Responsibilities and Operations<\/h3>\n\n
          \n
        • The Technical Partner has its own API credentials<\/strong> issued by CentralPay<\/li>\n\n\n\n
        • It can transmit technical instructions<\/strong> (sales data, shopping cart, commission, product codes, logistics events, etc.) and track<\/strong> transactions associated with Merchants linked to its Point of Sale (POS) locations<\/li>\n\n\n\n
        • He has no access<\/strong> to transfer<\/strong> features (including the endpoint transfer<\/code>) and cannot view balances or make Payouts: CentralPay decides on and executes<\/strong> transactions and fund transfers.<\/li>\n\n\n\n
        • In this context, CentralPay can process \u201c1-for-X\u201d<\/strong> payments: a customer (payer) can pay multiple Merchants simultaneously, and CentralPay then handles the allocation and disbursement of funds to the Merchants.<\/li>\n<\/ul>\n\n

          2.2. Billing<\/h3>\n\n
            \n
          • CentralPay bills the Technical Partner<\/strong> based on the transactions processed through its Point of Sale (POS) systems, in accordance with the terms set forth in the CCSP and the applicable subscription documents.<\/li>\n\n\n\n
          • When a commission is applicable, CentralPay may, based on the transaction data provided and in accordance with the terms of the agreement, allocate<\/strong> the funds: the commission portion is then credited<\/strong> to the Technical Partner\u2019s Commission Account<\/strong>, without the Technical Partner holding any third-party funds<\/li>\n<\/ul>\n\n

            To learn more about the Technical Partner model<\/h3>\n\n
              \n
            • The Technical Partner develops a shared solution (e.g., marketplace, SaaS platform) that integrates CentralPay. It operates through one or more Points of Sale (POS) registered in its name, which process transactions from affiliated standard merchants. <\/li>\n\n\n\n
            • Each participating merchant enters into a contract directly with CentralPay (CCSP and subscription documents) and has its own CentralPay Merchant Profile<\/li>\n\n\n\n
            • The Technical Partner transmits transaction data (transaction<\/strong> amount, reference numbers, commission, logistics<\/strong> events, etc.) to CentralPay. This data does not trigger any automatic financial action<\/strong>: CentralPay analyzes and verifies the data, then decides whether to process the transaction and initiate the necessary fund transfers. <\/li>\n\n\n\n
            • CentralPay may decide to impose a temporary hold<\/strong> and\/or set<\/strong> a Release date<\/strong> for the funds to be made available to a Merchant (e.g., pending delivery or shipment), in accordance with its risk policy, network rules, and regulatory obligations.<\/li>\n\n\n\n
            • The Technical Partner never holds third-party funds, does not issue any payment orders, and cannot intervene in payouts or account management. It acts neither on behalf of third parties nor in the name of CentralPay. <\/li>\n\n\n\n
            • The Technical Partner\u2019s access is limited to the views<\/strong> and features strictly necessary for the transmission and tracking of Technical Instructions; there is no access<\/strong> to the \u201cTechnical Partner Account\u201d as an account (no right of execution, no right of disposal, no access to balances)<\/li>\n\n\n\n
            • In the event of ORIAS registration as an IOBSP (intermediary \u2013 \u201cMOBSP\u201d) and if a separate contractual framework so provides, the Technical Partner may assist merchants in onboarding (providing a registration link, assisting with documentation), subject to prior approval by CentralPay<\/li>\n<\/ul>\n\n

              3. Common Compliance Rules<\/h2>\n\n

              For both models:<\/p>\n\n

                \n
              • The Partner is not a Payment Service Provider (PSP)<\/strong>, has no authority to execute<\/strong> payment transactions, and does not hold any third-party funds<\/strong> in connection with payment services<\/li>\n\n\n\n
              • Accounts, the provision of funds, payouts, and the protection of funds<\/strong> are managed and overseen by CentralPay in its capacity as a payment service provider (PSP)<\/li>\n\n\n\n
              • No regulatory delegation of authority to provide payment services (such as a PSP agent<\/strong>) is granted to these partners<\/li>\n<\/ul>\n\n

                3.1. Contractual Relationship with Merchants<\/h3>\n\n

                The Partner<\/strong> (whether a technical partner or integration partner) maintains its own business relationship with its users and remains responsible for the services offered on its platform. It is free to define the terms and conditions of use<\/strong> applicable to its services. <\/p>\n\n

                For their part, the affiliated merchants:<\/p>\n\n

                  \n
                • Create their own CentralPay Merchant Profile<\/strong> as part of a personalized Enrollment process<\/li>\n\n\n\n
                • Sign<\/strong> the CCSP and the applicable subscription documents (including the designation of a partner, if applicable) directly with CentralPay<\/strong> <\/li>\n\n\n\n
                • Acknowledge<\/strong> that the partner may perform certain technical actions<\/strong> as part of its integration (e.g., submitting an order, submitting a shopping cart, following technical instructions), without this constituting a payment order or access to funds<\/li>\n<\/ul>\n\n
                  <\/div>\n\n

                  CentralPay then works directly with the affiliated Merchant to:<\/p>\n\n

                    \n
                  • creating and managing their account<\/strong> (electronic signature, POS assignment, linking to a partner)<\/li>\n\n\n\n
                  • the regulatory processing<\/strong> of submitted supporting documents (KYC\/KYB, anti-money laundering and counter-terrorism financing)<\/li>\n\n\n\n
                  • updating documentation<\/strong> or conducting additional verifications necessary for the proper execution of payment services<\/li>\n<\/ul>\n\n
                    <\/div>\n\n

                    This entire organization is based on a strictly defined contractual framework<\/strong>:<\/p>\n\n

                      \n
                    • The partner<\/strong> signs a dedicated contract<\/strong> with CentralPay that outlines its role and access rights (API\/portal) and, if applicable, the commission terms.<\/li>\n\n\n\n
                    • Affiliated merchants<\/strong> sign their CentralPay contractual documents (CCSP and subscription) directly<\/strong>, in which their affiliation with the partner may be specified<\/li>\n\n\n\n
                    • The partner\u2019s terms and conditions<\/strong> apply solely to the use of its own platform. They may not interfere with CentralPay\u2019s payment services or supersede CentralPay\u2019s contractual documents. <\/li>\n<\/ul>\n\n

                      4. ORIAS Declaration (IOBSP \/ \u201cMOBSP\u201d)<\/h2>\n\n

                      An Integration Partner or a Technical Partner may, if required by its business activities, be registered with ORIAS<\/strong> as an IOBSP (intermediary\u2014\u201cMOBSP\u201d). This status is distinct<\/strong> from thatof a Payment Service Provider (PSP) agent<\/strong> (as defined in Article L.523-1 of the Monetary and Financial Code). <\/p>\n\n

                      Depending on the applicable contractual framework, this registration may allow for:<\/p>\n\n

                        \n
                      • To present<\/strong> CentralPay’s services and assist<\/strong> the Merchant with the Onboarding process<\/li>\n\n\n\n
                      • To assist with<\/strong> the preparation of the application (without ever replacing the regulatory reviews conducted by CentralPay)<\/li>\n<\/ul>\n\n

                        This status does not alter the restrictions set forth above in any way: it does not confer any rights to the funds<\/strong> or any authority to execute<\/strong> payment transactions.
